Seller terms and conditions

Acceptance EMPG Lebanon SARL, Beirut CR 1022902, incorporated and existing under the laws of Lebanon, having its principal place of business at the Beirut Digital District, Beirut, Lebanon (“EMPG Lebanon”, “Company”, “we”, “us”, “our”) operates an electronic trading vehicle auction platform, through the website located at https://olxlb.empgautos.com/ (the “Platform”). The Company provides a collection of online resources including the facilitation of the sale of automotive vehicles (the “Vehicles”) of various types at auction to the highest bidding purchaser through the Platform (the “Services”).   By using our Services, you confirm that you have read, understood and accepted these Terms and Conditions (the "Terms") and you agree to comply with them. Please note that these Terms must be read in conjunction with any other agreement you enter into with the Company with respect to the matter hereof. By retaining and using our Services, you warrant that you are eligible to contract and authorize us to sell the Vehicle (as described in each relevant Contact Form and Inspection Report) under applicable laws in Lebanon.	القبول  شركة إي أم بي جي لبنان ش.م.م، شركة مسجّلة في السجل التجاري في بيروت تحت الرقم 1022902 وهي تأسست وقائمة بموجب القوانين اللبنانيّة، مقرها  في منطقة بيروت الرقمية، بيروت – لبنان (يُشار إليها في ما يلي بـ"إي أم بي جي لبنان"، "الشركة"، "نحن"، الضمير المتصل "نا") تدير منصّة الكترونيّة للمناقصات التجاريّة وبيع المركبات، بواسطة الموقع الالكتروني https://olxlb.empgautos.com/(في ما يلي "المنصّة"). توفّر الشركة مجموعةً من الموارد الالكترونيّة ضمنًا تيسير عمليّة مبيع المركبات السيّارة ("المركبات") من أنواع مختلفة في المزاد العلني للمشتري المزايد بأعلى سعر بواسطة المنصّة (في ما يلي "الخدمات"). من خلال استخدام خدماتنا، تؤكّد بأنّك قرأت وفهمت ووافقت على هذه الشروط والأحكام (في ما يلي "الشروط") وأنّك توافق على الامتثال لها. رجاءً بأنّ يجب قراءة هذه الشروط بما ينسجم مع أي اتفاقٍ آخر تبرمه مع الشركة في ما يخصّ موضوع هذه الأحكام.  من خلال استخدام خدماتنا تضمن بأنّك مؤهّل الإبرام العقود وتفوضنا لبيع المركبة (على النحو المنصوص عليه في استمارة المعلومات وتقرير المعاينة ذات الصلة) بموجب القوانين المنصوص عليها في لبنان.
Services You can avail our Services by entering your contact information and the details of your Vehicle in the contact form available on (a) the classified ads website owned and operated by us located at www.olx.com.lb and its related mobile application and/or (b) the car experts services website owned and operated by us located at  https://carexperts.olx.com.lb/index.php?utm_source=Website and/or by contacting us though social media lead forms or directly by phone or email to share the same (the “Contact Form”). Based on the information you provide, we will contact you to book an appointment for the physical inspection of your Vehicle.	الخدمات يُمكن الحصول على الخدمات عن طريق إدخال معلومات الاتصال وتفاصيل المركبة على الاستمارة المتوفّرة على (أ) الموقع الالكتروني للإعلانات المبوبة والذي تملكه الشركة وتشغّله والمدرج على موقع www.olx.com.lb  والتطبيق الالكتروني ذات الصلة و/أو (ب) الموقع الإلكتروني لخدمات خبراء السيارات والذي تملكه الشركة وتشغّله والمدرج على موقع https://carexperts.olx.com.lb/index.php?utm_source=Website و/أو من خلال الاتصال بنا بواسطة إستمارات شبكات التواصل الإجتماعي أو مباشرةً بواسطة الهاتف أو البريد الالكتروني لإرسال الاستمارة (في ما يلي "استمارة المعلومات"). بناءً على المعلومات التي توفّرها، سوف نتصل بك لحجز موعدٍ من أجل المعاينة الماديّة للمركبة.
The inspection shall be conducted by us and/or our authorized vehicle inspection agents. The inspection is an overall inspection of your Vehicle based on our standard inspection checklist (verification checklist and/or inspection report) (the “Inspection Report”). You authorize us to inspect and capture images and other specifications of your Vehicle in order to verify its condition. You authorize us to share the Inspection Report, the Vehicle images and specifications with authorized car dealers that have entered into an agreement with us to participate in the Platform auctions (the “Enrolled Dealers”) as well as publish the same on the Platform to allow for the auction to take place and the Enrolled Dealers to bid on the Vehicle. You are liable to review the Inspection Report thoroughly before proceeding to the sale or purchase of the Vehicle (meaning the automotive vehicle described in the Inspection Report).  Any decision to publish the report for the Vehicle sale or to purchase the Vehicle on such basis remains your sole decision without any liability on EMPG Lebanon. The Inspection Report shall be provided following a visual and external inspection and odometer reading (odo) on ‘as is’ basis on the date of the Inspection Report. Facts and report data may vary and/or if the odometer reading varies after this date. While all reasonable care is taken during the Vehicle inspection and reporting, we are not responsible for any failure to identify defects not present or apparent at the time of the inspection. We make no representations with respect to any changes to the inspected Vehicle that occur after the issuance of the Inspection Report.  The inspection and related report do not guarantee the sale of the Vehicle, or the Vehicle itself and do not constitute a warranty against future Vehicle defects.   The inspection covers the items listed in the Inspection Report only. No dismantling, removal or inspection of any Vehicle part shall be undertaken.  Minor Vehicle body repairs of a cosmetic nature, which have been repaired to a satisfactory standard, will not be commented upon.  The accuracy of the odometer reading cannot be verified. No representation or warranties, express or implied, are made regarding the Vehicle’s condition including, inter alia, odometer reading, hybrid battery health, paint, design, or ownership and registration, payment of applicable taxes, origin, value, compliance with any manufacturer specifications, operation, mechanical condition or safety of any vehicle inspected or any of its component parts. If for any reason the inspector is unable to inspect the Vehicle underbody, an explanation will be given in the Inspection Report. In the event of any objection to the inspection and/or report, we reserve the right to re-examine the Vehicle prior to modifying the Inspection Report, at our sole discretion. We disclaim responsibility for any damage that might occur or appear during the inspection of the Vehicle or its test drive. All rights to the Inspection Report, including intellectual property, shall remain with us. The Inspection Report may not be used, reproduced, published or communicated without our authorization. You acknowledge and agree that in the event you advertise the sale of your Vehicle on www.olx.com.lb, EMPG Lebanon will remove the relevant ad until the auction for the sale of the Vehicle ends and will reactivate the relevant ad in case the sale is not concluded through the auction. You agree that you irrevocably release and discharge EMPG Lebanon from any and all claims, liabilities, damages, and actions, of whatever nature (including third party claims), now existing or arising in the future, based on, arising out of, or in connection with the inspection, report and/or ensuing Vehicle sale or lack thereof.	تجري عمليّة المعاينة من خلالنا أو من خلال الوكلاء المفوّضين إجراء المعاينة على المركبات. المعاينة هي عمليّة إجماليّة تُبنى على لائحة التدقيق المعياريّة (لائحة التدقيق و/أو تقرير المعاينة) ("تقرير المعاينة"). تفوّضنا لمعاينة المركبة والتقاط الصور والكشف على مواصفات المركبة بهدف التحقق من وضعها. وتمنحنا صلاحيّة إرسال تقرير المعاينة والصور الخاصّة بالمركبة والمواصفات إلى تجّار السيّارات المعتمدين الذين أبرموا معنا اتفاقًا للمشاركة في المزادات بواسطة المنصّة ("التجّار المسجّلون") كما تخوّلنا نشر المعلومات الآنف ذكرها على المنصّة إفساحًا بالمجال أمام إجراء المزاد وإفساحًا بالمجال أمام التجّار المسجّلين للمشاركة في المزايدة على المركبة. تبقى مسؤولا" عن مراجعة تقرير المعاينة بدقة قبل إستكمال شراء أو بيع المركبة (الموصوفة في تقرير المعاينة). أي قرار بهدف بيع المركبة أو شراء المركبة إستنادا" للتقرير المعاينة يبقى قرارك الوحيد ولن تتحمل إي أم بي جي لبناناية مسؤولية.   يوضع تقرير المعاينة بعد فحص خارجي وقراءة عداد المسافات المقطوعة (odo) كما هو مبين وبحالة المركبة بتاريخ تقرير المعاينة. قد تختلف الوقائع وبيانات التقرير و/أو في حالة اختلاف قراءة عداد المسافات بعد هذا التاريخ.   على الرغم من توخي الحذر الشديد أثناء فحص المركبة وإعداد التقارير، فإننا لا نتحمل اية مسؤولية عن عدم تحديد العيوب التي لم تكن موجودة أو واضحة عند المعاينة.  لا نضمن أي تغييرات قد تطرأ على المركبة التي تم معاينتها بعد إصدار تقرير المعاينة. لا يضمن الفحص ولا التقرير الناتج عنه بيع المركبة أو المركبة نفسها ولا يشكل أي من الفحص والتقرير ضمانة ضد عيوب المركبة التي قد تنشأ في المستقبل. يشمل الفحص العناصر المدرجة في تقرير المعاينة فقط. لا يتم فكّ، أو إزالة أو تفتيش لأي جزء من المركبة. لن يتم التعليق على إصلاحات هيكل المركبة الطفيفة ذات الطبيعة التجميلية والتي تم إصلاحها بشكل مقبول. لا يمكن التحقق من دقة قراءة عداد المسافات. لا نضمن، صراحة ولا ضمنيا"، وضع المركبة بما في ذلك، من بين أمور أخرى، قراءة عداد المسافات، أو صحة البطارية الهجينة، أو الطلا، أو التصميم، أو الملكية والتسجيل، ودفع الضرائب المطبقة، والمنشأ، والقيمة، والامتثال بأي مواصفات الشركة المصنعة أو تشغيل أو حالة ميكانيكية أو سلامة أي مركبة تم فحصها أو أي من أجزائها المكونة. في حال لم يتمكن المفتش من فحص الجزء السفلي للمركبة، لأي سبب من الأسباب، يتم التوضيح في متن التقرير. في حال الإعتراض على الفحص و/أو التقرير، فإننا نحتفظ بالحق في إعادة فحص المركبة قبل تعديل تقرير المعاينة وفقًا لتقديرنا الخاص. لسنا مسؤوليين عن أي ضرر قد يحدث أو يظهر أثناء فحص المركبة أو اختبار قيادتها. تعود لنا جميع حقوق  تقرير المعاينة، بما فيها حقوق المكلية الفكرية. لا يجوز إستعمال تقرير المعاينة أونسخه أو نشره أو نقله إلى الجمهور دون موافقتنا. تقر وتوافق على أنه في حال قمت بالإعلان عن بيع مركبتك على www.olx.com.lb، ستقوم إي أم بي جي لبنانبإزالة الإعلان ذي الصلة حتى انتهاء المزاد الخاص ببيع المركبة وإعادة نشره في حالة لم يتم بيعها من خلال المزاد. تبرئ ذمة إي أم بي جي لبنان وبشكل غير قابل للرجوع عنه، من اية مسؤولية وجميع المطالب والأضرار والإجراءات، أياً كانت طبيعتها، الموجودة حاليا" أو الناشئة في المستقبل، الناتجة عن  أو فيما يتعلق بالفحص أو التقرير، و/أو بيع للمركبة أوعدم البيع.
You authorize us to verify the legalities of the documentation pertaining to your Vehicle (including but not limited to vehicle registration, bank loans, etc.) from all concerned private and government authorities. You grant us the right to make available details of your Vehicle to any third party in connection with the transactions contemplated under the Services.	تفوضنا التحقق من قانونيّة الوثائق المتعلقة بمركبتك (بما في ذلك على سبيل المثال لا الحصر سجلّ المركبة والقروض المصرفية وما إلى ذلك) من جميع السلطات الحكومية والخاصة المعنيّة. تمنحنا الحق في إتاحة تفاصيل مركبتك لأي طرفٍ ثالثٍ في ما يتعلق بالمعاملات التي تلحظها الخدمات.
You acknowledge and agree that you will not have access to the Platform which is reserved for EMPG Lebanon and the Enrolled Dealers. You acknowledge and agree to appoint EMPG Lebanon to act as your agent, dispose of and sell the Vehicle with the right to collect the sale proceed as well as our Service Fee from the Enrolled Dealer and, upon collecting the sale proceed and completing the Vehicle sale, give the Enrolled Dealer a receipt and release statement with this respect. You shall refrain from any communication or dealing with the Enrolled Dealers- all contacts and contracts with the Enrolled Dealers shall be made through EMPG Lebanon.	تقر وتوافق على أنك لن تتمكن من الوصول إلى المنصة المخصصة لـإي أم بي جي لبنان أو للتجار المسجلين. تقر وتوافق على تعيين إي أم بي جي لبنان للعمل كوكيلٍ لك، والتصرّف بالمركبة وبيعها مع الاحتفاظ بالحق في تحصيل عائدات البيع بالإضافة إلى رسوم الخدمة من التاجر المسجل، وعند تحصيل عائدات البيع وإتمام عمليّة بيع المركبة، إعطاء التاجر المسجل إيصالًا وبيان إصدار بهذا الصدد. يُمنع عليك الاتصال أو التعامل مع التجار المسجلين - تتمّ جميع الاتصالات والعقود مع التجار المسجلين بواسطة إي أم بي جي لبنان.
You acknowledge and understand that we do not guarantee the sale or purchase of your Vehicle.	تقر وتعي أننا لا نضمن بيع أو شراء مركبتك.
You acknowledge and understand that in order to reach the price at which the Vehicle shall be sold to and purchased by an Enrolled Dealer (the “Sale Price”) we will require you to share your asking price.  The Enrolled Dealers will then make offering bids on the Vehicle listed on the Platform. We will support you and the highest bidder Enrolled Dealer in reaching the final Sale Price. The highest bidder will be designated and granted the right to purchase the Vehicle.  You may agree or refuse to sell your Vehicle at the Sale Price.	تقر وتعي أنه من أجل الوصول إلى سعر بيع المركبة وشرائها من قبل التاجر المسجل ("سعر البيع")، سنطلب منك إطلاعنا على سعر البيع الذي تطلبه. سيقوم التجّار المسجلون بعد ذلك بتقديم عروض مناقصة على المركبة المدرجة على المنصة. سوف نساعدك والتاجر المسجَّل صاحب العرض الأعلى على الوصول إلى سعر البيع النهائي. سيتم تحديد المزايد الأعلى ومنحه الحق في شراء المركبة. يمكنك الموافقة على بيع مركبتك بسعر البيع أو رفض ذلك.
You acknowledge that in case of agreement on the sale of your Vehicle, you will be required to execute further documents and agree to cooperate in good faith with our internal as well as legal requirements. The documents to be executed include but are not limited to a sale statement, notarized power of attorney and a payment receipt acknowledgement benefiting EMPG Lebanon. You understand that the Vehicle sale cannot be completed otherwise.	2.8.تقر أنه في حال الاتفاق على بيع مركبتك، سيُطلب  منك توفير مستندات إضافيّة والموافقة على التعاون بحسن نية مع متطلباتنا الداخلية والقانونية. تتضّمن المستندات التي سيتم طلبها على سبيل المثال لا الحصر إقرار البيع والوكالة المصدقة لدى كاتب العدل وإيصال الدفع لصالح أي أم بي جي لبنان.  تقرّ أنه لا يمكن إتمام عمليّة البيع دون ذلك.
EMPG Lebanon reserves the right to void, reject or cancel any bid offer on any Vehicle for any reason at its sole and absolute discretion. EMPG Lebanon has no obligation to accept the highest bid offer made for any Vehicle.	تحتفظ إي أم بي جي لبنان بالحق في إبطال أو رفض أو إلغاء أي عرض مزايدة على أي مركبة لأي سبب من الأسباب وفقًا لتقديرها الخاص والمطلق. ليست شركة إي إم بي جي لبنان ملزمة بقبول أعلى عرض لأي سيارة.
You authorize the Enrolled Dealer submitting the highest bid or accepted bid offer as decided by EMPG Lebanon, to perform an additional inspection of the Vehicle within 48h of the auction conclusion before concluding the purchase. In case the inspection performed by the Enrolled Dealer does not correspond to the findings in the Inspection Report, the Enrolled Dealer may refuse to complete the purchase within 48h of the auction conclusion without incurring any liability whatsoever.	تجيز للتاجر المسجل صاحب أعلى عرض أو الذي تمّ قبول عرضه على النحو الذي تقرره إي أم بي جي لبنان، إجراء معاينة إضافيّة للمركبة ضمن مهلة 48 ساعة من اختتام المزاد قبل إتمام عمليّة الشراء. في حال عدم توافق المعاينة التي يقوم بها التاجر المسجل مع النتائج الواردة في تقرير المعاينة، يجوز للتاجر المسجل رفض إتمام عملية الشراء في غضون 48 ساعة من انتهاء المزاد من دون أن تترتب عليه أي مسؤولية من أي نوع.
Should a dispute arise in relation to a bid offer, EMPG Lebanon is solely entitled to resolve the dispute (subject to Article 7 of these Terms).	في حال نشوء نزاع في ما يتعلق بعرض المناقصة، يحق لإي أم بي جي لبنان وحدها فضّ النزاع (وفقًا للمادة 7 من هذه الأحكام).
You acknowledge that EMPG Lebanon shall not be a party to the Vehicle sale and purchase contract which shall be deemed concluded exclusively between you and the Enrolled Dealer. EMPG Lebanon shall not be liable for any contract entered into between you and the Enrolled Dealer in respect of any Vehicle. A bid offer made by the Enrolled Dealer represents an offer to sell i.e., non-binding offer, for you to sell the Vehicle, at the price offered by the Enrolled Dealer and does not create a formal contract between the Enrolled Dealer and EMPG Lebanon and/or you. The Enrolled Dealer shall enter into a legally binding obligation to purchase the Vehicle when you will accept the bid offer noting that the relation remains exclusively between you and the Enrolled Dealers for the Vehicle purchase.	تقر بأن إي أم بي جي لبنان لن تكون طرفًا في عقد بيع وشراء المركبة والذي يعتبر مُبرمًا حصريًا بينك وبين التاجر المسجل. لن تكون إي أم بي جي لبنان مسؤولة عن أي عقد مبرم بينك وبين التاجر المسجل في ما يتعلق بأي مركبة. يمثل عرض المزايدة المقدم من التاجر المسجل عرضًا للبيع، أي عرض غير ملزم، لكي تبيع المركبة بالسعر الذي يقدمه التاجر المسجل وهو لا ينشئ عقدًا رسميًا بين التاجر المسجل و إي ام بي جي لبنان و/أو شخصك. يجب على التاجر المسجل إبرام التزام ملزم قانونًا بشراء المركبة عندما تقبل عرض المناقصة مع التنويه بأن العلاقة تبقى حصريّةً بينك وبين التجّار المسجلين لشراء المركبة.
You acknowledge that the Enrolled Dealer shall collect the Vehicle and settle the price as indicated by the Company as well as the EMPG Lebanon Service Fee (fee for the Service provided by EMPG Lebanon) within 48 hours of the completion of a bid offer and acceptance thereof. No Vehicle shall be delivered to any Enrolled Dealer unless the Sale Price due to you and the Service Fee due to us are paid in full by the Enrolled Dealer. If the Enrolled Dealer fails to make the payment within the allotted timeframe and in the manner indicated, you and EMPG Lebanon shall be released from the obligation to arrange the sale of and sell the Vehicle to the Enrolled Dealer as may be applicable. EMPG Lebanon may advertise the Vehicle on the Platform again.  The Vehicle remains your property and you may sell it to a third party up until EMPG Lebanon receives full payment for the Sale Price and Service Fee from the Enrolled Dealer.	تقر بأنّ التاجر المسجل سيستلم المركبة ويُسدد السعر كما هو مبين من قبل الشركة بالإضافة إلى رسوم خدمة إي أم بي جي لبنان (رسوم مقابل الخدمة المقدمة من إي أم بي جي لبنان) ضمن مهلة 48 ساعة من إتمام عرض المناقصة وقبوله. لن يتم تسليم أي مركبة إلى أي تاجر مسجل ما لم يتم تسديد سعر البيع المستحق لك وتسديد رسوم الخدمة المستحقة لنا بالكامل من قبل التاجر المسجل. في حال عدم قيام التاجر المسجل بتسديد المبلغ ضمن المهلة الزمنيّة المحددة وبالطريقة المشار إليها، تعفى ذمتك وذمة وإي أم بي جي لبنان من موجب الترتيب لبيع المركبة وبيعها إلى التاجر المسجل حسب الاقتضاء. يجوز لشركة إي أم بي جي لبنان الإعلان عن المركبة على المنصة من جديد. تظل المركبة ملكك ويمكنك بيعها لطرفٍ ثالٍث إلى حين تلقّي إي أم بي جي لبنان المبلغ الكامل لسعر البيع ورسوم الخدمة من التاجر المسجل.
You agree that we will remit the Sale Price to you upon the conclusion of the Vehicle sale and receipt of the full payment of the Sale Price and Service Fee from the Enrolled Dealer.	توافق على أننا سنقوم بتحويل سعر البيع إليك عند إبرام مبيع المركبة واستلام المبلغ الكامل لسعر البيع ورسوم الخدمة من التاجر المسجل.
You acknowledge that the Enrolled Dealer may not be the final purchaser or owner of the Vehicle. Notwithstanding, upon the purchase of the Vehicle, the Enrolled Dealer shall become liable for all related risks and shall release and indemnify EMPG Lebanon and you of any related claim, right or compensation.	تقر بأنّ التاجر المسجّل قد لا يكون المشتري أو المالك النهائي للسيارة. على الرغم من ذلك، عند شراء المركبة، يصبح التاجر المسجل مسؤولاً عن جميع المخاطر ذات الصلة ويعفي إي أم بي جي لبنان ويعفيك من أي مسؤوليّة ويعوِّض عليكما عن أي مطالبة أو حق أو تعويض ذي صلة.
You acknowledge that the Vehicle documentation (including but not limited to ownership, relevant power of attorney, etc.) shall remain with EMPG Lebanon until the Enrolled Dealer determines the final purchaser and that EMPG Lebanon processes the final sale requirements to transfer the Vehicle ownership. The Enrolled Dealer shall remain liable for any applicable governmental fees and taxes notably for mechanical inspection as of the date of the purchase.	تقر بأن وثائق المركبة (بما في ذلك على سبيل المثال لا الحصر الملكية والوكالة الرسميّة ذات الصلة وما إلى ذلك) يجب أن تظل مع إي أم بي جي لبنان حتى يحدد التاجر المسجل المشتري النهائي وأنّ إي أم بي جي تتوّلى إدارة شؤون البيع النهائية لنقل ملكيّة المركبة. يُطالب التاجر المسجل بتسديد أي رسوم وضرائب حكوميّة ولا سيما تلك المترتبة عن المعاينة الميكانيكيّة اعتبارًا من تاريخ الشراء.
You acknowledge that the Vehicle is not exclusively reserved to the auction or the Enrolled Dealers. EMPG Lebanon may at any time arrange to sale of the Vehicle to any third party based on your asking price and consent as indicated in Article 2.6 and remit to you the sale proceed.	تقرّ بأنّ المركبة ليست مخصصة حصرًا للمزاد أو التجّار المسجلين. قد تقوم إي أم بي جي لبنان في أي وقتٍ بالترتيب لبيع المركبة إلى أيّ طرفٍ ثالثٍ مع مراعاة السعر الذي تطلبه وبعد الأخذ بموافقتك على النحوِ المنصوصِ عليه  في المادة 2.6 وتحويل عائدات البيع إليك.
You warrant, represent and undertake that you are free to enter into and perform under these Terms and hold all necessary rights and licenses to sell the Vehicle.	تضمن وتقر وتتعهد بأنه لك مطلق الحرية في إبرام الاتفاق بموجب هذه الشروط والعمل بها وأنّك تحتفظ بجميع الحقوقِ والتراخيصِ اللازمة لبيع المركبة.
You acknowledge and agree that EMPG Lebanon reserves the right to move, edit or remove any post or listing in relation to a Vehicle on the Platform at any time at its sole discretion.	تقر وتوافق على أن إي أم بي جي لبنان تحتفظ بالحق في نقل أو تعديل أو رفع المركبة عن أي إدراجٍ أو قائمةٍ على المنصة في أي وقت وفقًا لتقديرها الخاص.
Limitation of Liability and Indemnification EMPG Lebanon shall not be liable for any direct, indirect, special, incidental, consequential damages, including but not limited to, damages for loss of profits, use, data, goodwill or other intangible losses, resulting from the conduct of any Enrolled Dealer or third party in relation to the Vehicle, the Services or the Platform or any other matter correlating to the Vehicle, the Services or the Platform.  The total liability of EMPG Lebanon or its parent, subsidiaries, group companies, agents, affiliates, contractors and licensors in relation to: (i) the use of the Services; (ii) the Platform; and (iii) the Vehicle under these Terms, shall not exceed the amount of the Service Fee in relation with the Vehicle sale that led to the liability event.	تحديد المسؤولية والتعويض لن تكون إي أم بي جي لبنان مسؤولة عن أي أضرار مباشرة أو غير مباشرة أو خاصة أو عرضية أو ناتجة، بما في ذلك على سبيل المثال لا الحصر، الأضرار الناتجة عن خسارة الأرباح أو الاستخدام أو البيانات أو السمعة أو الخسائر غير الملموسة الأخرى، الناشئة عن سلوك أي تاجر مسجل أو طرفٍ ثالثٍ في ما يتعلق بالمركبة أو الخدمات أو المنصة أو أي مسألة أخرى تتعلق بالمركبة أو الخدمات أو المنصة. إنّ المسؤولية الإجمالية لشركة إي أم بي جي لبنان أو الشركة الأم، والشركات التابعة لها، وشركات المجموعة، والوكلاء، والشركات التابعة، والمقاولين والمرخصين في ما يتعلق بما يلي: (1) استخدام الخدمات؛ (2) المنصة؛ و(3) المركبة الخاضعة لهذه الأحكام، يجب ألا تتجاوز مبلغ رسوم الخدمة المتصّلة ببيع المركبة الذي ترتبت عنه المسؤولية.
You agree to defend, indemnify and forever hold us harmless from and against any and all claims, damages, obligations, losses, liabilities, costs or debts, and expenses (including but not limited to attorneys' fees) arising from: (i) your use of the Platform and/or the Services; (ii) your violation of any provision of these Terms and related agreement; or (iii) your violation of any third party right. This defense and indemnification obligation will survive termination, modification or expiration of these Terms and your use of the Platform and/or Services.	توافق على إعتاقنا والتعويض علينا وحمايتنا دومًا من أي وجميع المطالبات والأضرار والالتزامات والخسائر والمسؤوليات والتكاليف أو الديون والنفقات (بما في ذلك على سبيل المثال لا الحصر أتعاب المحاماة) الناشئة عن: (1) استخدامك المنصة و/أو الخدمات؛ (2) انتهاكك لأي شرط من هذه الشروط والاتفاقية ذات الصلة؛ أو (3) انتهاكك لحق أي طرف ثالث. سيظل موجب الإعتاق والتعويض ساريًا بعد إنهاء أو تعديل أو انتهاء صلاحية هذه الشروط واستخدامك للمنصة و/أو الخدمات.
Confidentiality You acknowledge that during the performance of these Terms, you may learn or receive information (either in writing or orally) relating to our business and you agree to keep such information confidential, except to the extent that it is required by law and/or to be divulged in order to execute the terms under Article 2. You further pledge to keep all information relating to the Platform, these Terms, bids and Vehicle sale and purchase confidential.	السرية أنت تقر أنه أثناء تنفيذ هذه الأحكام، قد تتعلم أو تتلقى معلومات (كتابيًا أو شفهيًا) تتعلق بأعمالنا وإنّك توافق على الحفاظ على سريّة هذه المعلومات، باستثناء الحد الذي ينصّ عليه القانون و/أو يتم الإفصاح عنه من أجل تنفيذ الشروط المنصوص عليها في المادة 2. أنت تتعهد أيضًا بالحفاظ على سريّة جميع المعلومات المتعلقة بالمنصة وبهذه الشروط والمناقصات وببيع المركبات وشرائها.
Relation  Nothing herein shall be deemed to create any association, partnership or joint venture or employment relation between us. Neither of us shall have the right, power or authority at any time to act for or on behalf of or represent the other beyond these Terms.	العلاقة لا يُعتبر أي شيء في هذه الوثيقة على أنه ينشئ أي جمعيّة أو شراكة أو مشروع مشترك أو علاقة توظيف بيننا. لا يتمتع أيٌّ منا بالحق أو الصلاحية أو السلطة في أي وقت للتصرف لصالح أو نيابةً عن الآخر أو تمثيله بغير ما تنصّ عليه هذه الشروط.
Taxes You will remain solely liable for and pay any and all applicable taxes and fees imposed or assessed by reason of these Terms and incurred by you.	الضرائب تبقى وحدك مسؤولا" عن جميع الضرائب والرسوم المطبقة المفروضة أو المقدرة نتيجة هذه الشروط والتي تكون قد تكبدّتها وبتسديدها.
Applicable Law and Dispute Resolution   The Terms and the relationship between us shall be governed by the laws of Lebanon notably the provisions of the Code of Obligations and Contracts. The Courts of Lebanon shall be exclusively competent to resolve any dispute arising from or in relation with these Terms.	القانون مرعيّ الإجراء وفض المنازعات تخضع الشروط والعلاقة بيننا للقوانين اللبنانية ولا سيما أحكام قانون الموجبات والعقود. تختص المحاكم اللبنانية حصرًا بحلّ أي نزاع ينشأ عن هذه الشروط أو يتعلّق بها.
Language In case there is a discrepancy between the English text and the text of the other language, the English text version will prevail.	اللغة في حال وجود تناقض بين النص الإنجليزي والنص المترجم، يسود النص الإنجليزي ويحل محله.

Please review the Car Auction inspection report (verification checklist) (the “Inspection Report”) before proceeding to the sale or purchase of the Vehicle (meaning the automotive vehicle described in the Inspection Report).

Any decision to publish the report for the Vehicle sale or to purchase the Vehicle remains the sole decision of the Seller or Purchaser, (“you”) without any liability on EMPG Lebanon sarl (“we”, “us”, “our” or “Company”).

This Inspection Report is provided following a visual and external inspection and odometer reading (odo) on ‘as is’ basis as of the Inspection Report date. Facts and report data may vary and/or if the odometer reading varies after this date.

While all reasonable care has been taken during the Vehicle inspection and reporting, we are not responsible for any failure to identify defects not present or apparent at the time of the inspection. We make no representations with respect to any changes to the inspected Vehicle that occur after the issuance of the Inspection Report. The inspection and related report does not guarantee the sale of the Vehicle, or the Vehicle itself and does not constitute a warranty against future Vehicle defects.  

The inspection covers the items listed in the Inspection Report only.

No dismantling, removal or inspection of any Vehicle part has been undertaken.

Minor Vehicle body repairs of a cosmetic nature, which have been repaired to a satisfactory standard, have not been commented upon.

The accuracy of the odometer reading cannot be verified.

No representation or warranties, express or implied, are made regarding the Vehicle’s condition including, inter alia, odometer reading, hybrid battery health, paint, design, or ownership and registration, payment of applicable taxes, origin, value, compliance with any manufacturer specifications, operation, mechanical condition or safety of any vehicle inspected or any of its component parts.

If for any reason the inspector is unable to inspect the Vehicle underbody, an explanation will be given in the Inspection Report.

We disclaim responsibility for any damage that might occur or appear during the inspection of the Vehicle or its test drive.

All rights to the Inspection Report, including intellectual property, shall remain with us. The Inspection Report may not be used, reproduced, published or communicated without our authorization.

Seller Declaration:

I acknowledge the above Inspection Report findings and applicable terms.

I have read and accept that these terms and the Car Auction Seller Terms and Conditions, as available at and www.olx.com.lbshall govern my relationship with EMPG Lebanon sarl.

الرجاء مراجعة تقرير معاينة Car Auction (قائمة التدقيق) ("تقرير المعاينة") قبل إستكمال شراء أو بيع المركبة (الموصوفة في تقرير المعاينة).

أي قرار يتخذه البائع أو الشاري ("أنتم") بهدف بيع المركبة أو شراء المركبة يبقى قراره الوحيد ولن تتحمل EMPG Lebanon sarl ("نحن"، "الشركة") اية مسؤولية.  

وضع تقرير المعاينة بعد فحص خارجي وقراءة عداد المسافات المقطوعة (odo) كما هو مبين وبحالة المركبة بتاريخ تقرير المعاينة. قد تختلف الوقائع وبيانات التقرير و/أو في حالة اختلاف قراءة عداد المسافات بعد هذا التاريخ. 

على الرغم من توخي الحذر الشديد أثناء فحص المركبة وإعداد التقارير، فإننا لا نتحمل اية مسؤولية عن عدم تحديد العيوب التي لم تكن موجودة أو واضحة عند المعاينة. لا نضمن أي تغييرات قد تطرأ على المركبة التي تم معاينتها بعد إصدار تقرير المعاينة.

لا يضمن الفحص ولا التقرير الناتج عنه بيع المركبة أو المركبة نفسها ولا يشكل أي من الفحص والتقرير ضمانة ضد عيوب المركبة التي قد تنشأ في المستقبل.

يشمل الفحص العناصر المدرجة في تقرير المعاينة فقط.

لم يتم فكّ، أو إزالة أو تفتيش لأي جزء من المركبة.

لم يتم التعليق على إصلاحات هيكل المركبة الطفيفة ذات الطبيعة التجميلية والتي تم إصلاحها بشكل مقبول.

لا يمكن التحقق من دقة قراءة عداد المسافات.

لا نضمن، صراحة ولا ضمنيا"، وضع المركبة بما في ذلك ، من بين أمور أخرى ، قراءة عداد المسافات ، أو صحة البطارية الهجينة ، أو الطلاء ، أو التصميم ، أو الملكية والتسجيل ، ودفع الضرائب المطبقة ، والمنشأ ، والقيمة ، والامتثال بأي مواصفات الشركة المصنعة أو تشغيل أو حالة ميكانيكية أو سلامة أي مركبة تم فحصها أو أي من أجزائها المكونة.

في حال لم يتمكن المفتش من فحص الجزء السفلي للمركبة، لأي سبب من الأسباب، يتم التوضيح في متن التقرير.

لسنا مسؤوليين عن أي ضرر قد يحدث أو يظهر أثناء فحص المركبة أو اختبار قيادتها.

تعود لنا جميع حقوق  تقرير المعاينة، بما فيها حقوق المكلية الفكرية. لا يجوز إستعمال تقرير المعاينة أونسخه أو نشره أو نقله إلى الجمهور دون موافقتنا.

إقرار البائع:

أقر بأنني وافقت على نتائج تقريرالمعاينة والشروط المعمول بها أعلاه.

أقرّ أنني قرأت وأوافق على أن هذه الشروط و"شروط وأحكام خاصّة بالبائع في بيع سيّارات بالمزاد العلني" الموجودة على  وwww.olx.com.lb، ستحكم علاقتي مع EMPG Lebanon sarl.
